1. Overview

This website and online store are operated by RIZADO, operating as RIZADO (“RIZADO,” “we,” “us,” or “our”).

RIZADO offers this website, including its information, content, features, products, tools, and services, to you subject to these Terms of Service (“Terms”).

Our store is hosted by Shopify, which provides the e-commerce platform that allows us to offer and sell our products to you. Purchases made through this website are transactions directly between you and RIZADO. Shopify is not the seller of RIZADO products.

Please read these Terms carefully before using the website or placing an order.

2. Acceptance of these Terms

By accessing or using the website, creating an account, submitting an order, or purchasing a product, you acknowledge that you have read and agree to these Terms and the policies incorporated into them.

If you do not agree with these Terms, do not use the website or purchase products through it.

These Terms apply to all website visitors and customers, including retail and wholesale customers unless a separate written wholesale agreement applies. If a separate written agreement conflicts with these Terms, the separate agreement will control to the extent of that conflict.

You must have reached the age of majority in your province, territory, state, or country to place an order. If you have not reached the age of majority, you may use this website only with the involvement and permission of a parent or legal guardian.

3. Incorporated policies

The following RIZADO policies form part of these Terms:

• Privacy Policy;

• Return and Refund Policy;

• Shipping Policy; and

• Any additional policy, promotion term, product instruction, or notice presented to you before completing a transaction.

If there is a conflict:

• The Privacy Policy controls regarding the collection, use, and disclosure of personal information;

• The Return and Refund Policy controls regarding voluntary returns, exchanges, and refunds;

• The Shipping Policy controls regarding processing, shipment, and delivery; and

• Mandatory consumer-protection law controls where it cannot legally be excluded or limited.

4. Online-store eligibility and acceptable use

You may use the website only for lawful personal or business purposes.

You must not:

• Use the website in violation of applicable law;

• Submit false, misleading, fraudulent, or incomplete information;

• Impersonate another person or misrepresent your identity;

• Use another person’s payment information without authorization;

• Attempt to gain unauthorized access to the website, Shopify, or related systems;

• Introduce malware, viruses, harmful code, automated attacks, or disruptive technology;

• Scrape, crawl, copy, or extract website content using automated means without written permission;

• Interfere with the security or operation of the website;

• Use RIZADO content or intellectual property without authorization;

• Use the website to transmit unlawful, abusive, defamatory, infringing, or malicious content;

• Place orders for unauthorized resale, export, or fraudulent chargebacks;

• Circumvent purchase limits, promotions, or fraud-prevention measures; or

• Encourage or assist another person in doing any of the above.

We may suspend or terminate access to the website when we reasonably believe these Terms have been violated, subject to applicable law.

5. Customer accounts

Certain features may require a customer account.

You are responsible for:

• Providing accurate and current information;

• Maintaining the confidentiality of your login credentials;

• Restricting access to your account and devices; and

• Promptly notifying us of suspected unauthorized access.

You are responsible for activity conducted through your account unless the activity resulted from circumstances for which RIZADO is legally responsible.

We may suspend or close an account when reasonably necessary to address suspected fraud, misuse, security risks, or violations of these Terms.

Contact us promptly if you believe your account has been compromised.

6. Product information

We make reasonable efforts to ensure that product descriptions, photographs, ingredient information, sizes, prices, and availability are accurate and current.

However:

• Screen settings may affect how colours appear;

• Packaging may be updated;

• Naturally derived ingredients may create normal variations in colour, scent, texture, or viscosity;

• Product photographs may include styling or props not included with the purchase; and

• Minor non-material differences may occur between batches.

Normal variations do not necessarily mean that a product is defective.

The product label and packaging accompanying the product should be reviewed before use. If information on the website differs materially from the physical product label, stop using the product and contact us for clarification.

We may correct errors or update product information at any time. If a material error affects an order you have already placed, we will notify you and provide any options required by applicable law.

7. Cosmetic products and individual results

RIZADO haircare and body-care products are cosmetic products. They are not intended to diagnose, treat, cure, or prevent a disease or medical condition.

Information provided on our website, social media, packaging, emails, or other materials is for general product and educational purposes. It is not medical advice and should not replace advice from a qualified healthcare professional.

Hair, scalp, and skin characteristics vary. Individual experiences and results may differ depending on factors including hair type, porosity, styling practices, product combinations, environment, allergies, sensitivities, and method of use.

Before using a product:

• Review the ingredient list and directions;

• Do not use a product if you know or suspect that you are allergic or sensitive to an ingredient;

• Use the product only as directed;

• Avoid contact with the eyes unless the label expressly states otherwise; and

• Keep products out of reach of children unless the product is specifically intended and labelled for their use.

A patch test may help identify certain sensitivities but cannot guarantee that a reaction will not occur.

Discontinue use if irritation or an unexpected reaction develops. Seek appropriate medical advice for a serious, persistent, or worsening reaction.

Nothing in this section excludes responsibility that RIZADO cannot legally exclude, including responsibility relating to product safety, inaccurate labelling, misrepresentation, or defective goods.

8. Prices and currency

Prices are displayed in the currency selected on the website or identified during checkout.

Unless stated otherwise:

• Prices do not include applicable taxes or shipping charges;

• Taxes and shipping charges are calculated or displayed before the order is submitted;

• International duties, brokerage charges, and import taxes may be additional; and

• Promotions and discounts are subject to their stated terms.

Prices may change for future orders without notice. A price change does not affect an order already accepted, except where the displayed price resulted from an obvious error and applicable law permits correction.

We do not use an advertised discount, comparison price, or “regular price” unless we have a reasonable basis for the representation.

9. Orders and contract formation

Submitting an order is an offer to purchase the identified products at the price and on the terms displayed during checkout.

An order is accepted when RIZADO sends an order confirmation or otherwise expressly accepts and begins fulfilling it. An automated acknowledgement that an order was received does not prevent us from reviewing it for payment, inventory, pricing, or fraud concerns.

We may decline or cancel an order for a reasonable reason, including:

• Product unavailability;

• Payment authorization failure;

• Suspected fraud or unauthorized activity;

• Incorrect pricing or product information;

• Shipping or legal restrictions;

• An incomplete or invalid address;

• Violation of purchase limits; or

• A violation of these Terms.

If we cancel an order after collecting payment, we will refund the applicable amount to the original payment method.

We may limit quantities purchased per person, household, account, payment method, or order when reasonably necessary to protect inventory, enforce a promotion, prevent unauthorized resale, or address suspected misuse.

10. Order information and B.C. distance-sales contracts

Before completing an online purchase, customers will be provided with or given access to the material information concerning the transaction, including:

• RIZADO’s business and contact information;

• A description of the products;

• Quantities and prices;

• Currency;

• Applicable taxes, shipping charges, and other fees;

• The total purchase price;

• Payment terms;

• Shipping method and delivery destination;

• The estimated shipment or delivery date; and

• Applicable cancellation, return, exchange, and refund policies.

An electronic order confirmation or receipt will be sent after purchase. Customers should retain it for their records.

Online purchases made by consumers in British Columbia may constitute distance-sales contracts under the Business Practices and Consumer Protection Act. Nothing in these Terms limits a cancellation, refund, or other right that cannot legally be waived under that legislation.

11. Payment

You agree to provide current, complete, and accurate payment and billing information.

By submitting payment information, you represent that:

• You are authorized to use the selected payment method;

• The information provided is accurate;

• The transaction is lawful; and

• You authorize the applicable charges, taxes, shipping costs, and disclosed fees.

Payments are processed by Shopify or another payment provider offered during checkout. Payment providers may apply their own terms and privacy practices.

RIZADO does not ordinarily receive or store your complete payment-card number or card security code.

We may use lawful fraud-prevention measures and request additional verification before accepting or fulfilling an order.

12. Shipping, delivery, returns, and refunds

Shipping, delivery, tracking, lost-package procedures, and B.C. delivery rights are governed by our Shipping Policy.

Returns, opened products, damaged or defective products, exchanges, and refunds are governed by our Return and Refund Policy.

Those policies do not restrict rights or remedies that cannot legally be excluded under applicable consumer-protection law.

13. Promotions, discounts, and gift cards

Promotions, discount codes, giveaways, samples, gift cards, and other offers may be subject to additional terms.

Unless otherwise stated:

• Promotions cannot be combined;

• Discounts have no cash value;

• A discount applies only to eligible products and dates;

• Promotional quantities may be limited;

• Free gifts and samples cannot be exchanged for cash;

• Discounts cannot be applied retroactively to completed orders; and

• Fraudulent, duplicated, altered, transferred, or unauthorized codes may be cancelled.

If additional promotional terms conflict with these Terms, the specific promotional terms control for that promotion, subject to applicable law.

14. Wholesale and unauthorized resale

Products purchased through the retail website are intended for personal use unless RIZADO has expressly approved resale.

You may not:

• Resell RIZADO products without authorization;

• Alter, relabel, dilute, refill, repackage, or transfer products for resale;

• Remove batch codes or legally required information;

• Make unauthorized medical, therapeutic, or performance claims about RIZADO products;

• Sell expired, damaged, counterfeit, or improperly stored products; or

• Present yourself as an authorized RIZADO retailer without written approval.

Authorized wholesale customers may be subject to separate wholesale terms, pricing, minimums, payment requirements, territory restrictions, and product-handling standards.

15. Reviews and customer content

You may submit reviews, comments, photographs, videos, testimonials, or other content where the website permits.

You retain ownership of content you create. By submitting content to RIZADO, you grant RIZADO a non-exclusive, worldwide, royalty-free licence to host, reproduce, format, display, and distribute that content for operating the website and, where you have given appropriate permission, for marketing RIZADO.

You represent that:

• You created the content or have permission to submit it;

• It does not infringe another person’s intellectual-property or privacy rights;

• It is not knowingly false, defamatory, unlawful, threatening, or malicious; and

• Any material connection, incentive, free product, or compensation relating to a review is appropriately disclosed.

RIZADO may moderate or remove content that violates these standards, is unrelated to the product, contains personal information, is spam, or is otherwise unlawful.

We will not prohibit or penalize a consumer for posting an honest review merely because it is negative. Nothing in these Terms restricts a consumer’s right to communicate a lawful review of RIZADO, its products, or a consumer transaction.

16. Intellectual property

The website and its content—including the RIZADO name, logos, product names, packaging designs, photographs, videos, text, graphics, slogans, website design, and campaign materials—are owned by or licensed to RIZADO and are protected by applicable intellectual-property laws.

RIZADO grants you a limited, revocable, non-exclusive, and non-transferable licence to access and use the website for lawful personal shopping and informational purposes.

Without prior written permission, you may not:

• Copy, reproduce, modify, publish, sell, license, or commercially exploit website content;

• Use RIZADO trademarks, branding, packaging, or photographs;

• Create derivative materials that imply an affiliation with RIZADO;

• Remove copyright, trademark, or proprietary notices; or

• Use RIZADO content to promote counterfeit, competing, or unauthorized products.

No ownership rights are transferred to you through your use of the website.

17. Third-party services and links

The website may contain links to or integrations with Shopify, payment providers, shipping carriers, social-media platforms, applications, and other third-party services.

Third parties operate under their own terms and privacy policies. RIZADO does not control and is not responsible for independent third-party websites, services, content, availability, or security.

A link does not necessarily mean that RIZADO endorses the third party.

This section does not exclude responsibility for a third-party service provider where RIZADO remains legally accountable for that provider’s activities.

18. Website availability and modifications

We may modify, suspend, or discontinue website content, features, or products at any time.

We do not guarantee that:

• The website will always be available or uninterrupted;

• Every error will be corrected immediately;

• Every product will remain available; or

• The website will be compatible with every device or browser.

Planned or emergency maintenance, cybersecurity incidents, carrier disruptions, internet failures, or events outside our reasonable control may affect website availability.

This section does not affect an accepted order or consumer right unless permitted by applicable law.

19. Disclaimer of warranties

To the maximum extent permitted by law, the website is provided on an “as available” basis. We do not make warranties about the website beyond those expressly stated in these Terms or required by law.

Products are provided subject to their descriptions, labels, instructions, and any warranties or conditions imposed by applicable law.

Nothing in these Terms excludes or limits:

• An express representation made by RIZADO;

• A statutory warranty or condition that cannot be excluded;

• Rights relating to defective or unsafe products;

• Liability for false or misleading representations;

• Rights under B.C.’s Business Practices and Consumer Protection Act or Sale of Goods Act; or

• Any other right or remedy that cannot legally be waived.

20. Limitation of liability

To the maximum extent permitted by law, RIZADO will not be liable for indirect, incidental, special, or consequential loss arising solely from use of or inability to access the website when that loss was not reasonably foreseeable.

This limitation does not apply to:

• Death or personal injury caused by negligence where liability cannot be excluded;

• Fraud or fraudulent misrepresentation;

• Gross negligence or wilful misconduct;

• Defective or unsafe products where liability cannot be excluded;

• Breach of privacy or data-protection obligations where liability cannot be excluded;

• A breach of an express contractual commitment; or

• Mandatory consumer rights and remedies.

Where liability may lawfully be limited, RIZADO’s total liability relating to a particular order will not exceed the amount paid for that order. This limit does not apply where such a limitation would be unlawful or unconscionable.

21. Indemnification

To the extent permitted by law, you agree to indemnify RIZADO against reasonable losses, liabilities, and expenses arising directly from:

• Your unlawful use of the website;

• Your infringement of another person’s intellectual-property or privacy rights;

• Fraudulent activity conducted by you;

• Unauthorized resale, alteration, or relabelling of RIZADO products; or

• Your material violation of these Terms.

This provision does not require a consumer to indemnify RIZADO for RIZADO’s own negligence, breach of contract, unlawful conduct, or other responsibility that cannot legally be transferred.

22. Privacy

Our collection, use, disclosure, protection, and retention of personal information are governed by our Privacy Policy.

By using the website, you acknowledge that personal information may be processed by Shopify and other service providers as explained in that policy.

23. Suspension and termination

You may stop using the website at any time.

RIZADO may suspend or terminate access when reasonably necessary because of:

• A material violation of these Terms;

• Fraudulent or unlawful conduct;

• Threats to website or payment security;

• Abuse of promotions, returns, or chargebacks; or

• Conduct that harms RIZADO, its customers, or service providers.

Termination does not affect rights or obligations that arose before termination, including payment obligations, accepted orders, intellectual-property rights, dispute rights, or mandatory consumer protections.

24. Governing law and disputes

These Terms and transactions with RIZADO are generally governed by the laws of British Columbia and the applicable federal laws of Canada.

Before beginning formal proceedings, you and RIZADO are encouraged to attempt to resolve the concern by contacting one another in good faith.

Nothing in these Terms:

• Requires a consumer to use mandatory arbitration;

• Prevents a consumer from participating in a class proceeding where that right cannot be restricted;

• Prevents a consumer from posting or communicating an honest review;

• Requires a consumer to waive rights under B.C. consumer-protection legislation; or

• Prevents a consumer from bringing a claim before a court, tribunal, regulator, or consumer-protection authority with lawful jurisdiction.

Consumers outside British Columbia retain any mandatory rights available under the laws of their place of residence.

25. Changes to these Terms

We may update these Terms to reflect changes to our business, website, products, Shopify services, or legal obligations.

Updated Terms will be posted with a revised “Last updated” date. Changes apply prospectively and will not materially alter an accepted order unless required by law or agreed to by the customer.

Your continued use of the website after updated Terms are posted means you agree to the updated Terms for future use and future transactions.

26. General provisions

If a provision of these Terms is found invalid, unlawful, or unenforceable, it will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.

A delay by RIZADO in enforcing a provision is not a waiver of that provision.

Headings are included for convenience and do not change the meaning of these Terms.

These Terms, together with the policies and information incorporated into them, constitute the agreement between you and RIZADO concerning use of the website and purchases made through it, subject to the order-specific information provided at checkout and mandatory law.
